These Terms of Service ("Terms") constitute a legally binding agreement between you and PersonifyAI ("we," "us," or "our") concerning your access to and use of the PersonifyAI website at getpersonify.ai and our AI-powered resume building services (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

We reserve the right to make changes to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Service after any modifications constitutes acceptance of those changes.

2. Our Services

PersonifyAI provides an AI-powered resume building platform that helps users create professional resumes. Our Service includes:

• AI-powered resume content generation based on job descriptions and user input
• Multiple service tiers (Guest, Free, Pro, Black Tie VIP) with varying usage limits
• Resume customization and editing tools
• Access to resume history and previously generated content
• Account management and profile settings

The information provided through our Service is for general informational purposes only. We do not guarantee employment outcomes, interview opportunities, or any specific results from using our Service.

3. Intellectual Property Rights

Unless otherwise indicated, the Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PersonifyAI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are permitted to use the Service for your personal, non-commercial use only. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Service, except as incidental to normal use
• Use our Service or any content for commercial purposes without our express written consent
• Reverse engineer, decompile, or disassemble any aspect of the Service

The resumes you create using our Service belong to you. However, the underlying technology, algorithms, and AI models used to generate content remain our exclusive property.

4. User Representations

By using the Service, you represent and warrant that:

• You are at least 18 years of age
• All registration information you submit is truthful and accurate
• You will maintain the accuracy of such information
• You have the legal capacity and agree to comply with these Terms
• You are not a minor in the jurisdiction in which you reside
• You will not access the Service through automated or non-human means (such as bots or scripts)
• You will not use the Service for any illegal or unauthorized purpose
• Your use of the Service will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Service.

5. User Registration

You may be required to register to use certain features of the Service. You agree to:

• Keep your password confidential and not share it with others
• Notify us immediately of any unauthorized use of your account
• Use only one account per person (multiple accounts are prohibited)
• Ensure that your email address and other account information remain current

You are responsible for all activities that occur under your account. We reserve the right to remove, reclaim, or change a username if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

6. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make it available. Prohibited activities include, but are not limited to:

• Systematically retrieving data or content from the Service to create a competing service
• Using the Service to advertise or offer to sell goods and services
• Circumventing, disabling, or interfering with security features of the Service
• Engaging in unauthorized framing of or linking to the Service
• Tricking, defrauding, or misleading us or other users
• Interfering with or creating an undue burden on the Service or networks
• Attempting to impersonate another user or person
• Using the Service to harass, abuse, or harm another person
• Using any information obtained from the Service to contact, advertise to, solicit, or sell to any user
• Uploading or transmitting viruses, malware, or any other malicious code
• Automating use of the Service (scraping, bots, etc.) without our express written permission
• Bypassing usage limits or tier restrictions through multiple accounts or technical means
• Using the Service to generate resumes containing false, fraudulent, or misleading information
• Sharing your Pro or Black Tie VIP account with others to circumvent usage limits

7. User Generated Contributions

The Service may allow you to create, submit, post, or transmit content, including but not limited to job descriptions, work history, education details, skills, and other professional information (collectively, "Contributions").

Contributions may be viewable by PersonifyAI and used to generate AI-powered resume content. By providing Contributions, you warrant that:

• Your Contributions are accurate, truthful, and not misleading
• Your Contributions do not violate any proprietary rights of third parties
• Your Contributions do not contain defamatory, libelous, or unlawful material
• Your Contributions do not contain viruses, malware, or harmful code
• You have the right to provide such Contributions and grant us the licenses described in Section 8

8. Contribution License

By posting Contributions to the Service, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and process your Contributions solely for the purpose of:

• Providing the Service to you (including generating AI-powered resume content)
• Improving and enhancing our AI models and Service functionality
• Complying with legal obligations and enforcing our Terms

Important: We do not claim ownership of your Contributions. You retain full ownership of your job descriptions, work history, and resume content. However, you grant us permission to use this information to provide our Service.

When you delete your account, we will delete your Contributions in accordance with our Privacy Policy.

9. Services Management

We reserve the right, but not the obligation, to:

• Monitor the Service for violations of these Terms
• Take appropriate legal action against anyone who violates these Terms
• Refuse, restrict, disable, or terminate your access to all or any part of the Service
• Remove or disable any content that violates these Terms or is otherwise objectionable
• Manage the Service to protect our rights, property, and the rights of users

We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.

10. Term and Termination

These Terms remain in full force and effect while you use the Service. We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by:

• Discontinuing use of the Service
• Deleting your account through your profile settings
• Contacting us at support@getpersonify.ai

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

We cannot guarantee the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance.

12. Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. Your use of the Service may also be subject to other local, state, national, or international laws.

13. Dispute Resolution

13.1 Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and PersonifyAI agree to first attempt to negotiate any Dispute informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.

13.2 Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA").

Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Commercial Arbitration Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing but need not provide a statement of reasons unless requested by either party.

The arbitration will be held in Clark County, Nevada, United States, or at another mutually agreed location. You and PersonifyAI agree that any arbitration shall be limited to the Dispute between PersonifyAI and you individually. You and PersonifyAI agree that:

• There is no right or authority for any Dispute to be arbitrated on a class-action basis
• There is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons
• No arbitration or Dispute will be joined with any other arbitration or Dispute

13.3 Exceptions to Arbitration

The parties agree that the following Disputes are not subject to arbitration:

• Any Dispute seeking to enforce or protect intellectual property rights
• Any Dispute related to theft, piracy, invasion of privacy, or unauthorized use
• Any claim for injunctive relief

13.4 Waiver of Jury Trial

YOU AND PERSONIFYAI WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and PersonifyAI are instead electing that all Disputes shall be resolved by arbitration. There is no judge or jury in arbitration.

14. Corrections

There may be information on the Service that contains typographical errors, inaccuracies, or omissions that may relate to service descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Service at any time, without prior notice.

15. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-GENERATED CONTENT DISCLAIMER: PersonifyAI uses artificial intelligence to generate resume content. We make no warranties or representations about:

• The accuracy, reliability, or completeness of AI-generated content
• The suitability of AI-generated content for any particular job or employer
• Employment outcomes, interview opportunities, or hiring decisions
• The grammatical correctness or professional quality of AI-generated content

NO EMPLOYMENT GUARANTEES: PersonifyAI is a resume creation tool only. We do not:

• Guarantee job offers, interviews, or employment opportunities
• Provide career counseling, legal advice, or professional guidance
• Verify the credentials or qualifications you claim in your resume
• Submit applications on your behalf or contact employers
• Make any representations about salary, compensation, or job market conditions

YOU ACKNOWLEDGE THAT IT IS YOUR SOLE RESPONSIBILITY TO REVIEW, EDIT, AND VERIFY ALL RESUME CONTENT BEFORE SUBMITTING IT TO EMPLOYERS. PersonifyAI will not be liable for any consequences resulting from inaccurate, misleading, or false information in resumes created using our Service.

16. Limitations of Liability

IN NO EVENT WILL PERSONIFYAI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MONETARY LIMIT: Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the LESSER of:

• The amount paid by you to PersonifyAI in the 12 months prior to the claim, OR
• ONE THOUSAND U.S. DOLLARS ($1,000.00 USD)

SPECIFIC DISCLAIMERS: PersonifyAI shall have no liability for:

• AI-generated content that is inaccurate, inappropriate, or unsuitable for your purposes
• Hiring decisions, rejections, or employment outcomes based on resumes created using our Service
• False or fraudulent information you include in your resume
• Violations of employment laws or regulations resulting from your resume content
• Loss of job opportunities due to Service downtime or technical issues
• Third-party actions (such as OpenAI service disruptions)

Certain U.S. state laws and international laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you, and you may have additional rights.

17. Indemnification

You agree to defend, indemnify, and hold harmless PersonifyAI and its subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any third-party rights, including intellectual property rights
• Any false, fraudulent, or misleading information in resumes created using our Service
• Any employment-related claims or disputes arising from your resume content
• Your violation of any laws or regulations

RESUME FRAUD LIABILITY: You specifically agree to indemnify PersonifyAI for any claims arising from:

• False credentials, degrees, or certifications claimed in your resume
• Misrepresentation of work history, job titles, or responsibilities
• Plagiarism or copyright infringement in resume content
• Defamation, libel, or false statements about former employers
• Violations of non-compete or confidentiality agreements disclosed in your resume

18. User Data

We will maintain certain data that you transmit to the Service for the purpose of managing the performance of the Service, as well as data relating to your use of the Service. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Service.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data. For more information about how we handle your data, please see our Privacy Policy.

19. Electronic Communications, Transactions, and Signatures

Visiting the Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Service, satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

20. AI-Generated Content & Disclaimers

PersonifyAI uses artificial intelligence technology, including third-party AI services such as OpenAI, to generate resume content based on your input. By using our Service, you acknowledge and agree to the following:

20.1 AI Content Limitations

• AI-generated content may contain errors, inaccuracies, or inappropriate language
• AI models may "hallucinate" or generate plausible-sounding but false information
• Generated content may not accurately reflect your actual experience or qualifications
• AI outputs can be biased, generic, or unsuitable for specific industries or roles

20.2 User Review Obligation

YOU ARE REQUIRED TO:

• Carefully review all AI-generated content before using it
• Verify the accuracy and truthfulness of all statements in your resume
• Edit, modify, or delete any content that is inaccurate or misleading
• Ensure that your final resume reflects only verifiable, truthful information

20.3 No Guarantee of Results

PersonifyAI does not guarantee:

• That AI-generated content will result in job interviews or offers
• That your resume will pass Applicant Tracking Systems (ATS)
• That generated content will be unique or original
• That content will comply with specific employer requirements
• Any particular outcome from using our Service

20.4 Third-Party AI Integration

Our Service integrates with OpenAI's API for content generation. By using our Service:

• Your input data (job descriptions, work history) is transmitted to OpenAI for processing
• OpenAI's privacy policy and terms apply to this data processing
• We use enterprise-grade API agreements with data protection provisions
• Your data is not used to train OpenAI's public models (per our enterprise agreement)

21. Freemium Model & Usage Limits

PersonifyAI operates on a freemium model with the following service tiers and usage limits:

• Access: No account required
• Features: Basic resume generation only
• Reset: Never (one-time use)

21.2 Free Tier (Registered Users)

• Limit: 5 resume generations per week
• Reset: Every Monday at 8:00 AM Eastern Time (ET)
• Access: Requires free account registration
• Features: Resume generation, history, profile management

21.3 Pro Tier (Paid Subscription)

• Price: $19.99 USD per month (recurring)
• Limit: 100 resume generations per week
• Reset: Every Monday at 8:00 AM Eastern Time (ET)
• Features: Priority generation, advanced customization, priority support
• Billing: Automatic monthly renewal via Stripe

21.4 Black Tie VIP Tier (Invitation-Only)

• Price: One-time payment (varies)
• Limit: Equivalent to Pro tier (100 per week) for lifetime
• Access: Invitation-only or special promotions (e.g., Founding 50 program)
• Features: Lifetime Pro-level access, VIP support, early access to new features

21.5 Payment and Refunds

PAYMENT TERMS:

• All payments are processed securely through Stripe
• Pro subscriptions renew automatically each month until cancelled
• You can cancel your Pro subscription at any time through your account settings
• Upon cancellation, you retain access through the end of your current billing period

NO REFUNDS POLICY:

• All payments are non-refundable
• This includes Pro monthly subscriptions and Black Tie VIP one-time payments
• You will retain access to paid features through the end of your current billing period
• We do not offer prorated refunds for partial months

21.6 Usage Limit Enforcement

We reserve the right to:

• Enforce usage limits strictly and immediately
• Suspend or terminate accounts that attempt to circumvent limits
• Track usage across multiple accounts or IP addresses to prevent abuse
• Modify usage limits, pricing, or tier features with 30 days notice

22. User-Generated Resume Content & Responsibility

While PersonifyAI assists in creating resume content, you are solely and exclusively responsible for the accuracy, truthfulness, and legality of all information in resumes you create using our Service.

22.1 User Warranties

By using the Service to create a resume, you represent and warrant that:

• All information you provide (work history, education, skills, achievements) is accurate and truthful
• You possess the qualifications, degrees, certifications, and experience you claim
• Your resume does not contain plagiarized content from others
• Your resume does not defame, libel, or make false statements about former employers or colleagues
• Your resume complies with all applicable employment laws and regulations
• You will review and verify all AI-generated content before submitting it to employers

22.2 PersonifyAI Does Not Verify Credentials

IMPORTANT: PersonifyAI does not:

• Verify your educational credentials, degrees, or certifications
• Confirm your work history, job titles, or employment dates
• Validate your skills, achievements, or professional qualifications
• Perform background checks or reference checks
• Contact your former employers or educational institutions

You acknowledge that PersonifyAI is a content generation tool only, and we rely entirely on the information you provide.

22.3 Legal Consequences of Resume Fraud

You acknowledge and understand that submitting false or fraudulent information in job applications may result in:

• Termination of employment (if hired)
• Civil liability and lawsuits from employers
• Criminal charges in some jurisdictions
• Damage to your professional reputation
• Loss of professional licenses or certifications

PersonifyAI is not liable for any such consequences. You agree to indemnify and hold PersonifyAI harmless from any claims, lawsuits, or damages arising from false or fraudulent information in your resume.

22.4 Obligation to Edit AI Content

YOU MUST:

• Carefully read every word of AI-generated resume content
• Edit or remove any inaccurate, exaggerated, or misleading statements
• Ensure that all claims are verifiable and truthful
• Add context or clarification where AI-generated content is vague
• Customize content to match your actual experience and qualifications

By downloading or using a resume created with PersonifyAI, you confirm that you have reviewed the content and accept full responsibility for its accuracy and consequences.

23. Miscellaneous

These Terms and any policies or operating rules posted by us on the Service or in respect to the Service constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms or use of the Service. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
